Can I Get an Amen?
Closings involving non-profits are filled with formalities, complications and traps which can substantially delay or derail transactions originally thought to be simple transfers. Smaller non-profits are frequently lead by volunteers who have neither the training nor the experience to stay in compliance with their organizational documents and corporate law. This is especially true for religious organizations, where the determination of the true holding entity is not always obvious and doctrinal disagreements can quickly create levels of animosity between a local congregation and denominational body and even within the local body itself.
This CLE will focus on the requirements of the Chapter 55A (Non-profit Corporation Act), determining which parties within churches have the authority to convey/pledge real estate and the formalities required before a title commitment or policy can be issued. Additional discussions will include ad valorem tax exemptions and mid-year transfers and time will be allotted to discuss ways this is likely to unfold as several larger denominations are going through significant changes or splits.
